1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the website operated by Hagelberg Law ("Hagelberg Law," "we," "us," or "our") (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

2. Purpose of the Site

The Site is provided for informational purposes to describe the legal services offered by Hagelberg Law and to provide general information about the firm. No attorney-client relationship is created by your use of the Site, and no legal services are provided through the Site. Information on the Site is for general informational purposes only.

3. No Legal Advice; No Attorney-Client Relationship

Nothing on the Site constitutes legal advice, and you should not rely on any information on the Site as legal advice. Your use of the Site, including contacting Hagelberg Law through the Site or by email, does not create an attorney-client relationship. An attorney-client relationship is formed only by a written engagement agreement signed by both you and Hagelberg Law. You should consult a qualified attorney before making any decision based on information found on the Site. Your use of any information on the Site is solely at your own risk.

4. Accuracy of Information

Hagelberg Law does not guarantee the accuracy, completeness, reliability, or timeliness of any information displayed on the Site. Information on the Site may be changed at any time without notice. It is your sole responsibility to independently verify any information before relying on it.

5. No Accounts for the Public

Account registration is not available to the general public. Accounts are provisioned only to authorized employees of Hagelberg Law. Any use of employee accounts is subject to Hagelberg Law's internal policies in addition to these Terms.

6. No User-Generated Content

The Site does not permit members of the public to submit, post, or upload content. You may not attempt to post, upload, or transmit any content through the Site.

7. Third-Party Links and Plugins

The Site may contain links to, or embed plugins from, third-party websites and services, including but not limited to Google Maps. Hagelberg Law does not control, endorse, or assume responsibility for the content, policies, or practices of any third party. Your use of any third-party site or service is at your own risk and subject to that third party's terms and privacy policies.

8. Availability and Uptime

The Site is provided on an "as available" basis. We do not promise, guarantee, or warrant that the Site will be available at any particular time, uninterrupted, error-free, secure, or free of viruses or other harmful components. We may modify, suspend, or discontinue the Site (in whole or in part) at any time without notice or liability.

9. Intellectual Property

All content on the Site that is owned by Hagelberg Law — including text, graphics, logos, and the Site's design — is the property of Hagelberg Law and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Hagelberg Law-owned content without our prior written permission. Third-party content is the property of its respective owners.

10. Disclaimer of Warranties

The Site and all content, information, and services made available through it are provided "as is" and "as available," without any warranty of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Hagelberg Law disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Hagelberg Law makes no warranty that the Site will meet your requirements or that any information obtained through the Site will be accurate or reliable.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Hagelberg Law, its officers, directors, members, employees, agents, affiliates, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your access to, use of, or inability to use the Site, or any content on the Site, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Hagelberg Law has been advised of the possibility of such damages. To the maximum extent permitted by law, Hagelberg Law's total aggregate liability arising out of or relating to the Site shall not exceed one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the exclusions and limitations above apply to the fullest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Hagelberg Law and its officers, directors, members, employees, agents, and service providers from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site or your violation of these Terms.

13. Dispute Resolution; Binding Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court if it qualifies. The arbitration shall be conducted in Wilmington, Delaware, in accordance with the rules of the American Arbitration Association then in effect. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and Hagelberg Law each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You and Hagelberg Law each waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding.

You may opt out of this arbitration agreement by sending written notice within thirty (30) days of first accepting these Terms to: Hagelberg Law, 1201 N. Orange St., Suite 500-A, Wilmington, DE 19801. Opting out of arbitration does not affect any other provision of these Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Subject to the arbitration section above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Your continued use of the Site after any change constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
